Terms and Conditions

Welcome to CLIC Vendo. By accessing or using our website and services, you agree to be bound by the following Terms and Conditions. Please read them carefully before placing an order.


1. Orders and Customization
• All vending machines supplied by CLIC Vendo are custom-built, imported, and manufactured to order based on the specifications, options, configurations, and customization requirements selected by the client.
• An order shall be deemed confirmed only upon acceptance of the quotation, execution of the applicable sales agreement or Contract to Sell (if required), and receipt of the required down payment.
• The client is responsible for reviewing and approving all specifications, configurations, branding, artwork, logos, payment system options, machine finishes, and other customization requirements prior to the commencement of production.
• All customization details, including but not limited to machine layout, product configuration, branding, wrapping design, color scheme, logo placement, payment options, and accessory selections, must be finalized and approved before production begins.
• Once production, procurement, customization, branding, or manufacturing activities have commenced, modifications, substitutions, or changes requested by the client may not be possible and, if accepted by CLIC Vendo, may be subject to additional charges, revised pricing, revised specifications, and extended lead times.
• CLIC Vendo reserves the right to reject or require modification of any client-supplied specifications, artwork, branding materials, logos, or customization requests that are technically unsuitable, impractical, unlawful, infringing, or inconsistent with the intended operation of the equipment.
• Order cancellation, refunds, and modification requests shall be subject to the provisions set forth in the Returns, Cancellations, and Refunds section of these Terms and Conditions.

2. Pricing and Payment
• Prices are quoted in Philippine Pesos (₱) and are exclusive of VAT, delivery charges, installation fees, and other applicable charges unless otherwise stated in the quotation.
• A 50% Down Payment is required upon order confirmation to initiate processing, procurement, and production.
• A 30% Progress Payment is required upon completion of production, factory testing, quality inspection, and confirmation that the unit(s) are ready for shipment from the manufacturer’s facility. Shipment shall not proceed until this payment has been received in full.
• The remaining 20% Final Balance shall be payable upon client acceptance and signing of the delivery and acceptance form following successful delivery, installation (if applicable), inspection, and operational testing. For provincial deliveries or special arrangements, the final balance may be required prior to release from CLIC Vendo’s warehouse or designated dispatch point, as specified in the quotation, invoice, or sales agreement.
• This payment structure applies to all orders unless otherwise stated in writing by CLIC Vendo.
• For units that have arrived at CLIC Vendo’s warehouse and are ready for delivery, installation, release, or pickup, but cannot be delivered due to the client’s unavailability, failure to coordinate, site unpreparedness, or request to postpone delivery, a storage fee of ₱250 per day may be charged beginning on the agreed readiness or delivery date until actual delivery, installation, release, or pickup is completed.
• If any payment milestone, storage fee, or other amount due remains unpaid for more than thirty (30) calendar days after written notice, CLIC Vendo reserves the right to suspend production, shipment, delivery, installation, or release of the equipment. The order may be cancelled and any refund, if applicable, shall be subject to deductions for actual costs incurred, including but not limited to production, procurement, shipping, storage, handling, administrative, and related expenses.
• Ownership and title to the equipment shall remain with CLIC Vendo until all amounts due under the order have been paid in full.
We accept payments via bank transfer, bank deposit, GCash, QRPH, and other approved payment channels designated by CLIC Vendo.

3. Lead Time and Delivery
• Estimated lead time is approximately forty (40) to sixty (60) calendar days from receipt of the required down payment and final approval of specifications, artwork, branding, and other customization requirements. Lead times are estimates only and may vary depending on production schedules, shipping schedules, customs clearance, holidays, weather conditions, port congestion, supplier availability, and other factors beyond the reasonable control of CLIC Vendo.
• Delivery schedules shall be coordinated with the client once the equipment has arrived at CLIC Vendo’s warehouse, completed inspection, configuration, testing, and preparation for dispatch.
• Delivery fees, installation fees, permits, and other related charges are not included unless specifically stated in the quotation or sales agreement.
• Standard delivery quotations assume normal site access and installation conditions. Any special equipment, permits, crane services, forklifts, rigging services, elevated installation work, structural modifications, after-hours delivery requirements, additional manpower, or other extraordinary requirements necessary to complete delivery or installation shall be charged separately to the client.
• The client is responsible for ensuring that the installation site is safe, accessible, and ready to receive the equipment on the scheduled delivery date. Any failed delivery, return trip, waiting time, storage, additional labor, or additional transportation costs resulting from site inaccessibility, site unpreparedness, or client-requested delays may be charged separately.
• Risk of loss or damage to the equipment shall transfer to the client upon successful delivery, installation, turnover, or client acceptance, whichever occurs first.

4. Branding, Wrapping, and Logo Requirements
• All vending machines supplied by CLIC Vendo shall include an exterior finish, wrapping, or branding treatment as determined by the selected package or option at the time of order.
• Unless otherwise agreed in writing, machines supplied under CLIC Vendo’s standard branding package shall display the official CLIC Vendo logo and branding elements.
• Clients may elect alternative finish, branding, or wrapping options offered by CLIC Vendo, including options that do not display the CLIC Vendo logo, subject to the applicable package, upgrade, or customization requirements.
• Clients who select a custom branding package may submit their own logos, trademarks, artwork, colors, and branding materials for application to the machine, subject to review and approval by CLIC Vendo prior to production.
• The client warrants that it owns or has obtained all necessary rights, licenses, and permissions for any logos, trademarks, artwork, or branding materials provided to CLIC Vendo.
• CLIC Vendo reserves the right to reject, modify, or refuse any branding, logo, artwork, or design that may infringe intellectual property rights, violate applicable laws, contain offensive content, or be unsuitable for production.
• Any request to modify branding, wrapping, logos, colors, or artwork after production has commenced may be subject to additional charges, revised lead times, or both.

5. Warranty and Support
• CLIC Vendo provides a one (1) year limited warranty covering manufacturing defects in parts and workmanship under normal use and operating conditions, commencing from the date of delivery, installation, or client acceptance, whichever occurs first.
• During the warranty period, CLIC Vendo shall, at its sole discretion, repair or replace defective components determined to be affected by manufacturing defects.
• The warranty does not cover consumable items, cosmetic damage, normal wear and tear, vandalism, theft, abuse, misuse, negligence, improper operation, improper maintenance, accidental damage, water ingress, flooding, fire, power fluctuations, power surges, lightning strikes, acts of nature, pest infestation, third-party products, or damage resulting from unauthorized repairs, modifications, or alterations.
• The warranty does not cover damages resulting from improper electrical supply, inadequate grounding, unstable internet connectivity, unsuitable installation environments, or failure to follow operating, maintenance, or cleaning instructions provided by CLIC Vendo.
• Warranty coverage is limited to the repair or replacement of defective parts and does not include compensation for lost revenue, lost profits, business interruption, product spoilage, inventory loss, transportation costs, or other indirect or consequential damages.
• Any unauthorized repair, modification, alteration, relocation, disassembly, software modification, or installation of non-approved components may void the warranty.
• Lifetime remote technical support is provided by CLIC Vendo through available communication channels, including phone, email, messaging applications, or remote diagnostic tools.
• On-site service may be available depending on location, technician availability, and service requirements. Travel expenses, transportation costs, accommodation expenses, labor charges, and other service-related fees may apply for locations outside Metro Manila or areas not covered by CLIC Vendo’s standard service network.
• CLIC Vendo may offer preventive maintenance services, extended warranty programs, spare parts, and additional support packages, subject to separate quotations and service agreements.

6. Returns, Cancellations, and Refunds
• Due to the customized, imported, and built-to-order nature of CLIC Vendo products, all sales are considered final once an order has been confirmed and production, procurement, or customization activities have commenced.
• Orders may not be cancelled, modified, transferred, or reassigned once production, procurement, customization, branding, or manufacturing activities have started, except with the prior written approval of CLIC Vendo.
• CLIC Vendo does not accept returns, exchanges, or refunds for equipment that has been manufactured, customized, delivered, installed, accepted, or placed into operation, except where required by applicable law.
• If the client elects not to proceed after order confirmation, any refund, if approved by CLIC Vendo, shall be subject to deductions for all actual costs incurred, including but not limited to production, procurement, customization, branding, shipping, storage, handling, administrative expenses, banking charges, and other related costs.
• If the client fails to complete the required payment milestones within the prescribed period, CLIC Vendo reserves the right to suspend production, shipment, delivery, installation, release, or turnover of the equipment and may cancel the order in accordance with these Terms and Conditions.
• Any approved refund shall be processed only after assessment of costs incurred and may take up to thirty (30) business days to complete.

7. Use of Equipment
• The client is responsible for ensuring that the equipment is installed, operated, stocked, cleaned, maintained, and used in accordance with the operating instructions, user manuals, training materials, and recommendations provided by CLIC Vendo.
• The client shall provide and maintain a suitable operating environment, including adequate electrical supply, grounding, ventilation, internet connectivity (where applicable), security, and protection from water, excessive heat, humidity, dust, pests, and other conditions that may adversely affect the equipment.
• The client is responsible for all products, inventory, consumables, ingredients, packaging materials, cash collections, and other items stored, dispensed, or processed by the equipment.
• The client shall perform routine cleaning, inspection, and preventive maintenance as recommended by CLIC Vendo. Failure to properly maintain the equipment may affect performance and may impact warranty coverage.
• Training materials, operating instructions, and user guides shall be provided upon delivery, installation, commissioning, or turnover of the equipment.
• The client shall ensure that only authorized and properly trained personnel operate, service, or access the equipment.
• The client shall not modify, alter, relocate, disassemble, reverse engineer, or install non-approved hardware, software, payment systems, or accessories without the prior written approval of CLIC Vendo.
• CLIC Vendo shall not be responsible for losses, damages, spoilage, inventory shortages, cash discrepancies, business interruption, lost profits, or other operational issues resulting from improper use, inadequate maintenance, unauthorized modifications, environmental conditions, power interruptions, internet outages, or circumstances beyond CLIC Vendo’s reasonable control.

8. Limitation of Liability
• To the fullest extent permitted by applicable law, CLIC Vendo shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or related to the purchase, installation, operation, maintenance, performance, non-performance, or use of the equipment.
• CLIC Vendo shall not be liable for any loss of revenue, loss of profits, loss of business opportunities, business interruption, product spoilage, inventory loss, cash shortages, payment processing issues, data loss, goodwill loss, reputational damage, or any other economic or commercial losses, whether direct or indirect.
• CLIC Vendo shall not be liable for delays, failures, interruptions, or damages resulting from power outages, power fluctuations, internet connectivity issues, telecommunications failures, third-party payment providers, software services, cloud services, vandalism, theft, misuse, negligence, environmental conditions, force majeure events, or circumstances beyond CLIC Vendo’s reasonable control.
• The client acknowledges that vending machine performance, sales volume, profitability, return on investment, product demand, customer traffic, and business results are influenced by numerous factors beyond the control of CLIC Vendo. Accordingly, CLIC Vendo does not guarantee any specific level of sales, income, profit, return on investment, or business performance.
• In all cases, CLIC Vendo’s total cumulative liability arising from any claim, dispute, loss, or cause of action relating to the equipment, services, or transaction shall not exceed the total amount actually paid by the client to CLIC Vendo for the specific equipment giving rise to the claim.
• The limitations set forth in this section shall apply regardless of the legal theory asserted, whether based on contract, warranty, negligence, tort, strict liability, statutory liability, or any other cause of action.

9. Privacy and Data Protection
• CLIC Vendo respects the privacy of its customers and is committed to protecting personal information in accordance with applicable laws and regulations, including the Philippine Data Privacy Act of 2012 and its implementing rules and regulations.
• Personal information collected through inquiries, quotations, orders, service requests, support activities, website forms, or other business transactions may be used to process orders, provide products and services, coordinate deliveries and installations, provide technical support, communicate with customers, process payments, comply with legal obligations, and improve customer experience.
• CLIC Vendo may share customer information with authorized employees, service providers, logistics partners, payment processors, suppliers, contractors, installers, and other business partners only to the extent necessary to fulfill orders, provide services, or comply with legal requirements.
• CLIC Vendo does not sell customer personal information to third parties for marketing purposes.
While CLIC Vendo implements reasonable administrative, technical, and organizational measures to protect customer information, no method of electronic transmission, storage, or processing can be guaranteed to be completely secure.
• By submitting information through the website, email, messaging platforms, quotation requests, purchase orders, contracts, or other communications, the customer consents to the collection, processing, storage, and use of such information for legitimate business purposes related to CLIC Vendo’s products and services.
• Customers may contact CLIC Vendo to request access to, correction of, or updates to their personal information, subject to applicable laws and business requirements.

10. Changes to Terms and Conditions
• CLIC Vendo reserves the right to update, modify, revise, or replace these Terms and Conditions at any time without prior notice.
• Any updates or changes shall become effective upon posting on the CLIC Vendo website unless otherwise stated.
• Continued use of the CLIC Vendo website, services, or submission of inquiries, quotation requests, orders, or purchase transactions after such changes have been posted shall constitute acceptance of the revised Terms and Conditions.
• For completed transactions, accepted quotations, signed sales agreements, or executed Contracts to Sell, the Terms and Conditions in effect at the time of order confirmation or contract execution shall continue to govern the transaction unless otherwise agreed in writing by both parties.
